1. Acceptance of these Terms

By clicking “I agree” at sign-up, creating an account, uploading documents, or otherwise using the service, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and the Legal & Disclaimer, which is incorporated here by reference. If you are using the service on behalf of a company, you represent that you are authorized to bind that company to these Terms.

2. What the service is

GFC provides AI-assisted “go/no-go” bid-analysis reports and related tools that help electrical and construction contractors evaluate solicitations and contracts against a capability profile they provide. The reports are decision-support tools only. They are not legal, financial, accounting, tax, engineering, surety, bonding, or procurement advice, and they do not create any professional, fiduciary, agency, or advisory relationship between you and GFC.

3. Use of artificial intelligence; no warranty of accuracy

Our reports are produced with the assistance of artificial intelligence. AI systems can and do make mistakes — they may misread documents, miscalculate figures, miss clauses or deadlines, produce outdated or fabricated information, or be otherwise incomplete or wrong. The service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the service or any report will be accurate, complete, current, uninterrupted, or error-free.

4. Your responsibilities

You are solely and fully responsible for reading, reviewing, and understanding every solicitation, contract, amendment, and term that applies to you, and for independently verifying all dollar figures, scopes, payment and retainage terms, liquidated damages, bonding and insurance requirements, prevailing-wage/Davis-Bacon applicability, set-aside and eligibility rules, NAICS size standards, registration status (e.g., SAM.gov/UEI), and all dates and deadlines against the official source documents and the issuing authorities (including SAM.gov, the SBA, and the contracting agency) before you bid or act. You are responsible for the accuracy of the information you provide to us and for safeguarding your account credentials. You agree not to upload material you are not authorized to share, and not to misuse, reverse-engineer, scrape, or disrupt the service.

5. No guarantee of outcomes

A “GO,” “NO-GO,” “CONDITIONAL GO,” fit score, or any other output is an opinion for your consideration only. It is not a prediction or guarantee that you will win a bid, that any contract will be profitable, or that you are in fact eligible for any solicitation. All final judgment and final responsibility rest with you.

6. Fees, plans, and payment

Paid offerings may include per-report pricing and monthly or annual subscription plans, as described on the Payment page and as may change from time to time. Payments are processed by third-party processors (such as PayPal); GFC never receives or stores your full card details. You are responsible for all applicable taxes. Unless required by law or expressly stated by us in writing, fees are non-refundable, and subscription plans renew until cancelled. We may change prices prospectively; changes do not affect the current paid period.

7. Limitation of liability

To the maximum extent permitted by law, GFC and its owners, members, employees, and contractors shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any lost bids, lost or unprofitable contracts, lost profits, lost revenue, cost overruns, penalties, liquidated damages, missed deadlines, disqualifications, loss of data, or loss of goodwill, arising out of or relating to the service or any report, whether based in contract, tort, negligence, strict liability, or otherwise, even if we have been advised of the possibility of such damages. Our total aggregate liability for any and all claims relating to the service shall not exceed the amount you actually paid GFC for the specific report or service giving rise to the claim in the three (3) months preceding the event. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

8. Indemnification

You agree to indemnify, defend, and hold harmless GFC and its owners, members, employees, and contractors from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the service, your reliance on any report, your bids or contracts, your violation of these Terms, or your violation of any law or third-party right.

9. Your data and confidentiality

Information you submit is associated with your account and is accessible to you and to GFC staff who prepare your reports. We take reasonable measures to protect it but cannot guarantee absolute security. Do not submit information you are not permitted to share. We may use de-identified, aggregated data to improve the service.

10. Intellectual property

The service, including its software, templates, report formats, branding, and content, is owned by GFC and protected by applicable laws. We grant you a limited, non-exclusive, non-transferable license to use the reports we deliver for your own internal business purposes. You retain ownership of the documents and data you upload.

11. Termination

You may stop using the service at any time. We may suspend or terminate your access at any time, with or without notice, for any reason, including violation of these Terms. Sections that by their nature should survive termination (including Sections 3–8 and 10) will survive.

12. Governing law & dispute resolution

These Terms are governed by the laws of the State of Michigan, without regard to its conflict-of-laws rules. The parties agree that any dispute arising out of or relating to these Terms or the service will be resolved through binding arbitration on an individual basis, and you and GFC waive any right to a jury trial or to participate in a class action, except where prohibited by law.

13. Changes to these Terms

We may update these Terms from time to time. Material changes will be reflected by updating the “Last updated” date above. Your continued use of the service after changes take effect constitutes acceptance of the revised Terms.
